Platform: PMaaS (Product Management as a Service) – accessible at productmaas.com

By using or subscribing to PMaaS, you (“Customer,” “you,” “your”) agree to be bound by these Terms of Use, our Privacy Policy, and any applicable subscription plan documentation.

1. Overview

PMaaS is a cloud-based platform that provides scalable product management capabilities, including asset tracking, spend analytics, inventory control, and enterprise integrations. These Terms govern your access to and use of the platform, including its features, services, and associated support.

2. Scope of Services

Depending on your selected plan (Flux, Synergy, or Infinity), the PMaaS platform may include:

  • Asset lifecycle and balance sheet management
  • Spend tracking and budget analytics
  • Order management tools
  • Real-time inventory monitoring
  • Reporting and dashboard analytics
  • User and role access controls
  • Version, warranty, and EOL tracking
  • API integrations
  • Enterprise onboarding and support (Synergy and Infinity plans only)

3.3 Account Manager Consultation (Required)

Before your organisation can access and go live on the PMaaS platform, a mandatory consultation will take place with a designated Account Manager. This consultation is designed to:

  • Confirm that the selected subscription plan aligns with your business needs
  • Review onboarding steps, access control, and configuration
  • Ensure any integration or security requirements are addressed
  • Support your success with an appropriate launch plan

Platform access will not be enabled until this session is completed.

4. Customer Responsibilities

  • Provide accurate data during onboarding
  • Manage internal access and permissions
  • Ensure your users comply with these Terms and platform policies
  • Promptly report issues via the support channels provided

5. Support & Maintenance

  • Usage assistance and technical troubleshooting
  • Platform updates and improvements
  • Customer success support (Advanced and Pro only)

6. Data Security & Privacy

We comply with all applicable data protection laws, including GDPR. We process personal data strictly on your instructions and implement industry-standard security. Full details are available in our Privacy Policy.

7. Subscription Term & Renewal

  • Subscriptions run for 12-month terms by default
  • Subscriptions automatically renew for additional 12-month terms
  • You may cancel renewal with 60 days' prior written notice

8. Billing & Payment

  • Fees are based on your subscription tier and monthly asset usage
  • Asset usage is calculated on the 1st of each month and billed in arrears
  • Invoices are payable within 30 days

9. Intellectual Property

  • All rights in the PMaaS platform and content remain with the Provider
  • You retain ownership of your own data
  • We may use anonymised, aggregated data to improve services and create benchmarks

10. Confidentiality

Each party agrees to keep proprietary or non-public information confidential and to only use it as needed to fulfil obligations under this agreement.

11. Termination

Either party may terminate for material breach with 30 days' notice (if not cured). Upon termination:

  • Access to the platform will cease
  • You may export your data within 30 days
  • We will delete your data thereafter unless legally required to retain it

12. Warranty Disclaimer

We warrant that the PMaaS platform will perform in line with published documentation. Otherwise, the platform is provided “as is”, and we disclaim all other warranties, including implied merchantability and fitness for purpose.

13. Indemnity

  • We will defend you against third-party claims alleging IP infringement
  • You will indemnify us against claims resulting from misuse of the platform or non-compliance with laws or these Terms

14. Liability Limitation

  • Our total liability is capped at the total subscription fees paid in the past 12 months
  • Neither party is liable for indirect, incidental, or consequential damages

15. Anti-Bribery

We comply with the UK Bribery Act 2010 and related regulations. We maintain internal policies to prevent bribery or corruption and will report any improper requests immediately.

16. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The parties agree to the exclusive jurisdiction of the courts of England and Wales.

17. Force Majeure

We are not responsible for performance failures due to causes beyond our control, such as natural disasters, strikes, internet outages, or government orders.

18. Modifications

We may update these Terms of Use. Any changes will be communicated via our website. Continued use of the platform constitutes your acceptance of updated terms.
